Terms of Service
The agreement between you and Cerevisor when you use the Cerevisor desktop app or this website.
Draft pending legal review. These terms are a working draft prepared from a standard SaaS template. Final language is being reviewed by counsel and will replace this page before the v1 launch. The structure, scope, and intent below reflect the agreement.
Effective date: TBD before launch.
1. Acceptance of these terms
By installing or using the Cerevisor desktop app, you agree to these terms. If you do not agree, do not install or use the app.
2. License grant
Subject to your active subscription or free-tier eligibility, Cerevisor grants you a non-exclusive, non-transferable, revocable license to install and use the app on up to three devices per license for your own work or your organization's work. The free tier is offered subject to these terms; we may change free-tier features with 30 days notice.
3. Restrictions
You agree not to resell, sublicense, lease, or distribute the app. You agree not to reverse engineer, decompile, or disassemble the app except where permitted by law. You agree not to use the app to violate the terms of any model provider you connect to it.
4. Your content and provider keys
Your prompts, workflows, outputs, and provider API keys stay on your machine. Cerevisor does not store them, transmit them to its servers, or use them to train any model.
5. Subscription, payment, and refunds
Payments are processed by Lemon Squeezy as Merchant of Record. Subscriptions renew automatically and may be cancelled at any time from the customer portal. Cancellation stops future renewals. Refunds are processed by Lemon Squeezy under their policy; we will request a no-questions-asked refund on your first paid period within 14 days, as described in the Refund Policy.
6. Termination
We may suspend or terminate your license if you breach these terms. You may stop using the app at any time. On termination, sections 3, 7, 8, 9, and 10 survive.
7. Warranty disclaimer
The app is provided 'as is' without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI outputs may be inaccurate. You are responsible for reviewing what the app produces before relying on it.
8. Limitation of liability
To the maximum extent permitted by law, Cerevisor's total liability under these terms is limited to the amount you paid for the app in the twelve months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
9. Changes to these terms
We may update these terms. Material changes will be communicated by email and take effect 30 days after notice. Continued use of the app after the effective date constitutes acceptance.
10. Governing law
These terms are governed by the laws of the jurisdiction where Cerevisor is registered, without regard to conflict-of-law principles. Disputes will be resolved in the courts of that jurisdiction.
